Terms of Service

1. Agreement to Terms

By accessing or using the services of Ginger Bit Limited ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Ginger Bit Limited provides software development and consulting services to startup companies, including but not limited to:

• Software design and architecture
• Custom software development
• Implementation and deployment services
• Quality assurance and testing
• Technical consulting

3. Service Agreements

Specific terms for each project will be outlined in individual service agreements or statements of work. These Terms of Service apply in conjunction with any such agreements.

4. Intellectual Property

Client-Owned IP

Upon full payment, all custom software and deliverables created specifically for a client project shall be the property of the client, unless otherwise agreed in writing.

Pre-Existing IP

Any pre-existing intellectual property, tools, frameworks, or methodologies owned by Ginger Bit Limited prior to engagement remain our property.

Open Source

We may use open-source software components in our work. Such components remain subject to their respective licenses.

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days unless otherwise specified
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are quoted in GBP unless otherwise stated

6. Confidentiality

We maintain strict confidentiality regarding all client information and project details. We will not disclose confidential information to third parties without your consent, except as required by law.

7. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. However:

• Services are provided "as is" except as specified in service agreements
• We do not guarantee that software will be error-free or uninterrupted
• We are not liable for issues arising from third-party components or services

8. Limitation of Liability

To the maximum extent permitted by law, Ginger Bit Limited shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or data
• Business interruption

Our total liability shall not exceed the fees paid for the specific service giving rise to the claim.

9. Client Responsibilities

Clients are responsible for:

• Providing timely access to necessary information and resources
• Reviewing and approving deliverables within agreed timeframes
• Ensuring they have rights to any materials provided to us
• Complying with applicable laws and regulations

10. Project Timeline

Project timelines are estimates based on the information available. Delays caused by client-side factors, scope changes, or unforeseen circumstances may affect delivery dates.

11. Termination

Either party may terminate a service agreement with written notice. Upon termination:

• Client shall pay for all work completed to date
• We will deliver all completed work products
• Both parties will return confidential information

12. Changes to Services

We reserve the right to modify or discontinue services at any time. We will provide reasonable notice of material changes affecting existing clients.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Entire Agreement

These Terms, together with any service agreements and statements of work, constitute the entire agreement between you and Ginger Bit Limited.

15. Amendments

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services constitutes acceptance of the modified terms.
